Seller Acceptable Use Policy

Guidelines and standards for sellers on the Overtake marketplace.

This Seller Acceptable Use Policy ("Seller AUP") governs the conduct of users who list, offer, or sell digital goods on the OVERTAKE Market platform (the "Platform"), operated by OVERTAKE LABS PTE. LTD. ("OVERTAKE", "we", "our", or "us").

This policy applies in addition to the OVERTAKE Market Terms of Service.

By listing or selling any item on the Platform, you agree to comply with this Seller AUP.

1. Scope

This policy applies to all sellers who create listings or conduct transactions on the Platform involving digital gaming assets or related services ("Listings").
Sellers are solely responsible for ensuring that their Listings and transactions comply with all applicable laws, regulations, and third-party rights.

2. Prohibited Activities

Sellers may not use the Platform to offer, sell, promote, or distribute any asset, content, or service that falls within the categories below.

2.1 Illegal Activities

Listings or conduct that:

Violate any applicable law or regulation
Involve fraud, deception, or misrepresentation
Facilitate money laundering, terrorist financing, or other criminal activity

2.2 Stolen or Unauthorized Assets

Listings involving:

Stolen or compromised gaming accounts
Digital assets obtained through unauthorized access or account compromise
Digital assets obtained through exploitation of software vulnerabilities or unauthorized system manipulation

2.3 Fraudulent or Misleading Conduct

Activities that:

Misrepresent the nature, ownership, or value of a listed asset
Involve listings that the seller cannot or does not intend to deliver
Attempt to deceive buyers or manipulate transaction outcomes

Sellers are solely responsible for ensuring they have the right and ability to transfer any asset listed for sale.

2.4 Market Manipulation

Conduct intended to artificially manipulate activity on the Platform, including deceptive trading behavior or transactions intended solely to distort market signals.

2.5 Intellectual Property Violations

Listings that:

Infringe or violate the intellectual property rights of any third party
Violate the terms, policies, or rules of the relevant game publisher or platform

2.6 Harmful or Unauthorized Software

Listings involving software, tools, or digital products that violate the policies of the relevant game publisher or that are intended to disrupt, exploit, or improperly manipulate game environments.

3. Seller Responsibilities

Sellers must:

Ensure listings are accurate and not misleading
Ensure they have the authority and ability to transfer the listed asset
Comply with applicable laws and regulations
Respect the rights of third parties, including intellectual property rights
Comply with the terms and policies of the relevant game publisher or platform

Where payments are processed through third-party payment providers, sellers must also comply with the applicable policies of those providers, including the PayPal Acceptable Use Policy where PayPal is used as a payment method.

4. Platform Enforcement

OVERTAKE reserves the right, at its sole discretion, to take any action it deems necessary to maintain the integrity and safety of the Platform.

Such actions may include:

Removing or restricting listings
Suspending or terminating seller accounts
Limiting access to Platform features
Cooperating with law enforcement or regulatory authorities where required

OVERTAKE may take such actions without prior notice where reasonably necessary.

5. Relationship with Other Platform Policies

This Seller AUP forms part of the policies governing use of the Platform and should be read together with the OVERTAKE Market Terms of Service and Privacy Policy.

6. Policy Updates

OVERTAKE may update this Seller AUP from time to time. Updated versions will be published on the Platform with the revised effective date.

Continued use of the Platform as a seller after such updates constitutes acceptance of the revised policy.
